What is a One Person Company?+

An OPC is a company formed with a single member, introduced under the Companies Act, 2013. It gives a solo founder a corporate structure with a separate legal identity, rather than operating as a sole proprietorship.

Do I need to appoint a nominee?+

Yes. The memorandum of a One Person Company must name another individual as nominee, who would become the member in the event of the subscriber's death or incapacity. The nominee's written consent is part of the incorporation documentation.

Is there a turnover or capital limit on an OPC?+

No. The Ministry of Corporate Affairs amended the OPC rules with effect from 1 April 2021, removing the earlier restrictions of Rs. 50 lakh paid-up share capital and Rs. 2 crore average annual turnover, so an OPC can now grow without a mandatory conversion trigger.

Can a Non-Resident Indian incorporate an OPC?+

Yes. Following the 2021 amendment, any natural person who is an Indian citizen — whether resident in India or otherwise — may incorporate an OPC. The same amendment reduced the residency requirement from 182 days to 120 days.

How many directors does an OPC need?+

An OPC requires a minimum of one director, and the sole member may also be the director. Additional directors can be appointed as the business grows, subject to applicable law.

OPC or Private Limited Company — which should I choose?+

An OPC suits a single owner who wants a corporate structure now. A Private Limited Company is generally more appropriate where there are multiple founders or where institutional equity investment is planned. We can help you evaluate the right structure before incorporation.
