Yes. The memorandum of a One Person Company must name another individual as nominee, who would become the member in the event of the subscriber's death or incapacity. The nominee's written consent is part of the incorporation documentation.
No. The Ministry of Corporate Affairs amended the OPC rules with effect from 1 April 2021, removing the earlier restrictions of Rs. 50 lakh paid-up share capital and Rs. 2 crore average annual turnover, so an OPC can now grow without a mandatory conversion trigger.
Yes. Following the 2021 amendment, any natural person who is an Indian citizen — whether resident in India or otherwise — may incorporate an OPC. The same amendment reduced the residency requirement from 182 days to 120 days.
An OPC requires a minimum of one director, and the sole member may also be the director. Additional directors can be appointed as the business grows, subject to applicable law.
